ZidCloud Terms of Service

1. Acceptance of Terms

By accessing zidcloud.com or using any service provided by ZidCloud, a service unit under Elshobah Digital Agency ("ZidCloud", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree with these terms, please do not use our site or services.

2. Description of Services

ZidCloud provides professional digital infrastructure services, including:

• Cloud Solutions — management, migration, and optimization of cloud infrastructure
• DevOps & Automation — building CI/CD pipelines and system orchestration
• Code Crafting — custom web application and software development
• Cyber Security — penetration testing, security audits, and vulnerability assessments

3. Client Responsibilities

Clients are responsible for providing accurate and complete information necessary for the delivery of services, including lawful system access, credentials, and related documentation. Clients are also responsible for ensuring that their use of our services does not violate applicable law or the rights of third parties.

4. Service Agreements & SLA

The scope of work, pricing, and Service Level Agreement (SLA) for each client are agreed separately in a technical proposal or service contract. No minimum long-term contract is required — monthly services may be cancelled by the client at any time with at least 30 days' written notice.

5. Payment Terms

Payment can be made via bank transfer in Indonesian Rupiah (IDR) or US Dollars (USD). Other payment methods can be discussed and agreed upon based on client needs. Late payment may result in temporary suspension of services until payment is settled.

6. Intellectual Property

Unless otherwise agreed in writing, intellectual property rights to code, configurations, or custom deliverables created specifically for a client are transferred to the client upon receipt of full payment. Methodologies, internal tools, and general templates owned by ZidCloud prior to the start of a project remain the property of ZidCloud.

7. Confidentiality

Both parties agree to keep confidential any business, technical, or other sensitive information obtained during the course of the engagement, and will not disclose it to third parties without written consent, except where required by law.

8. Limitation of Liability

ZidCloud strives to deliver services to the highest professional standard, but does not guarantee that services will always be free of disruption or error. To the extent permitted by applicable law, ZidCloud's liability for indirect, incidental, or consequential damages is limited in accordance with the terms of the applicable service contract.

9. Termination

Either party may terminate services in accordance with the notice terms agreed in their respective contract. ZidCloud reserves the right to suspend or terminate services in the event of a breach of these Terms of Service or misuse of our services by the client.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to conflict of law principles, consistent with ZidCloud's headquarters domicile in Lamongan, East Java.

11. Dispute Resolution

Any dispute arising from the use of our services will first be addressed through good-faith discussion. If no agreement is reached, the dispute will be resolved through the competent courts in Indonesia in accordance with ZidCloud's legal domicile.

12. Changes to These Terms

We may update these Terms of Service from time to time. The "Last updated" date at the top of this page will be revised whenever changes are made. Continued use of our services after such changes constitutes acceptance of the updated terms.
